Andrew Mandel

Andrew Mandel is an Executive Director within Ernst & Young’s (EY) People Advisory Services (PAS) Practice with over 25 years of experience involving a wide range of industry settings including: private equity firms, banking and financial services, telecommunications, aerospace and defense, industrial products, pharmaceutical, packaging, healthcare, energy and power, real estate, consumer products, technology and business services, and professional service firms.

Mr. Mandel has significant experience in the design and development of executive compensation structures including: incentive and retention plan strategies; equity award design (performance shares, restricted shares, stock options); peer group development (for both benchmarking and performance purposes); development of performance metrics aligned with strategic initiatives; competitive benchmarking and market pricing; proxy disclosures including CD&A presentation; Form S-1 and 10 disclosures including Employee Matters Agreements; summary compensation tables, and change in control analysis; new share request  proposals; Dodd-Frank  requirements, corporate governance requirements; and incentive compensation risk assessment. His compensation clients have ranged in size from $10 million to $100 billion in annual revenue.

He also has significant experience in advising clients on technical aspects (e.g., tax and accounting treatment, withholding tax issues, equity rollovers) associated with executive compensation and incentive strategies including qualified and nonqualified stock options, restricted stock, performance units, partnership profits and capital interests, and deferred compensation.

As a member of EY’s PAS transaction service line for over 17 years, he has been devoted to compensation and benefits diligence and HR integration in connection with corporate mergers, acquisitions, spin-offs, IPOs, and restructurings.  He has worked on over 300 diverse transactions including leading and coordinating international M&A activities with local offices (Europe, EMEA, Latin America, APAC).
